Bay Area Mutual Aid Network Emergency Container Access Agreement

This Agreement is made and entered into by and between the Bay Area Mutual Aid Network and the _________________________________________ herein after referred to as "Party," and is effective once signed and received by Bay Area Mutual Aid Network administrators.

RECITALS

Whereas, it would not be economical for any library, institution or agency to purchase and store all of the supplies and equipment that would be needed to cope with a major disaster; and

Whereas the Bay Area Mutual Aid Network has agreed to sponsor two storage containers filled with emergency disaster supplies on the premises of Mills College, Oakland and San Mateo County Library, San Mateo, who have agreed to provide access to the container for other members of the network.

NOW THEREFORE it is agreed as follows:

1. Mills College and San Mateo County Library are responsible for providing security for the container on their premises, and to promptly notify Bay Area Mutual Aid Network administrators of any problems.

2. Mills College and San Mateo County Library agree to maintain a log recording authorized access to their containers.

3. Bay Area Mutual Aid Network is responsible for maintaining the supplies in each storage container.

4. In the event of any natural or man-made disaster which cannot be conveniently or expeditiously met with the emergency supplies held locally, Party shall be given immediate access to the supplies in the storage container. Party shall be responsible for identifying all supplies withdrawn from the storage container.

5. Following the emergency, Party shall notify Bay Area Mutual Aid Network administrators, by telephone or email, of entry to a container, and replace, in kind within 60 days of removal, any supplies withdrawn from the storage container.

6. Party shall release, defend, indemnify and hold harmless Mills College, San Mateo County Library, and Bay Area Mutual Aid Network from and against any and all liability, loss, expense, and attorney's fees, or claims for injury or damages arising out of Party's use or attempted use of the emergency supplies. Mills College and San Mateo County Library are administering the emergency supplies as a convenience for the members of Bay Area Mutual Aid Network and make no representation or warranties regarding the availability or quality of the emergency supplies.

7. Party may withdraw from this Agreement at any time, upon a 30-day written notice to Bay Area Mutual Aid Network and by returning any access key or keys. After the 30-day notice period the withdrawing Party shall no longer have access to the supplies/equipment in the container.

8. Party agrees to designate a contact person for their institution, to promptly identify a replacement if a vacancy occurs, and to keep Bay Area Mutual Aid Network administrators informed within 5 days of such changes.

9. The term of this agreement is indefinite, and will remain in effect until terminated by either party.
